1. Acceptance of these Terms
By accessing or using 4logist AI(the “Service”), you agree to be bound by these Terms and by our Privacy Policy. If you are using the Service on behalf of a company, you represent that you are authorised to bind that company, and “you” refers to that company. If you do not agree, do not use the Service.
2. The Service
4logist AIis an AI assistant for freight forwarders. With your authorisation it connects to a Gmail or Microsoft 365 mailbox, identifies incoming freight-quote requests, analyses your historical routing and pricing data, and prepares a draft reply within the relevant email thread. The Service assists your team; a human operator reviews and decides on every reply.
3. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account and workspace. Notify us promptly of any unauthorised use.
4. Your responsibilities
- You represent that you have the right and any necessary consents to connect the mailbox you connect and to allow us to process its contents on your behalf.
- You are responsible for the lawful handling of the personal data of your correspondents, and for reviewing every AI-generated draft before it is sent.
- You will use the Service in compliance with all applicable laws and these Terms.
5. AI-generated output
The Service uses artificial intelligence to generate suggestions, including draft replies and price estimates. AI output may be inaccurate, incomplete, or unsuitable for a particular situation. It is provided for your review only and does not constitute a binding offer, professional advice, or a guarantee of any price or outcome. You are solely responsible for reviewing, editing, approving, and sending any reply, and for any quote or commitment you make.
6. Acceptable use
You agree not to:
- use the Service for any unlawful, fraudulent, or harmful purpose;
- connect a mailbox you are not authorised to access;
- attempt to access data of other customers, probe or breach our security, or disrupt the Service;
- reverse engineer, copy, resell, or create derivative works from the Service except as permitted by law;
- use the Service to send spam or to violate the terms of Google, Microsoft, or any third party.
7. Third-party services
The Service integrates with third-party platforms, including Google (Gmail and Sign-In), Microsoft 365, and OpenAI. Your use of those platforms through the Service is also subject to their respective terms and policies. Our use of Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. We are not responsible for third-party services we do not control.
8. Intellectual property
We and our licensors own all rights in the Service, including its software, design, and content. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain all rights in your own data and the content of your mailbox; you grant us the limited licence needed to process it to provide the Service.
9. Fees
Fees, billing terms, and any free trial are described at sign-up or in a separate order. Unless stated otherwise, fees are exclusive of taxes. If the Service is currently provided without charge, we may introduce fees on reasonable prior notice.
10. Data protection
Our handling of personal data is described in our Privacy Policy. Where we process the personal data of your correspondents on your behalf, we do so as your processor, on your documented instructions, and a data processing agreement is available on request from legal@4logist.ai.
11. Disclaimers
The Service is provided “as is” and “as available”without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy, or non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.
12. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim (or, if the Service was free, EUR 100). Nothing in these Terms excludes liability that cannot be excluded under applicable law.
13. Indemnification
You will indemnify and hold us harmless from claims arising out of your misuse of the Service, your breach of these Terms, or your violation of any law or third-party right, including in connection with the mailbox content you direct us to process.
14. Term and termination
These Terms apply while you use the Service. You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms or if required for security or legal reasons. On termination, your right to use the Service ends and we will delete your data as described in the Privacy Policy.
15. Changes to the Service and Terms
We may modify the Service or these Terms. If we make material changes to these Terms, we will provide reasonable notice (for example, by email or in-app). Your continued use after the changes take effect constitutes acceptance.
16. Governing law and disputes
These Terms are governed by the laws of the Republic of Lithuania, without regard to conflict-of-law rules. The courts of Lithuania have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any competent court. If you are a consumer, you may also benefit from mandatory protections of the law of your country of residence.
17. General
These Terms, together with the Privacy Policy and any order, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
